These Terms of Service ("Terms") govern your access to and use of Helicon's websites, products, software, and services (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Services.
1. Using Helicon
You may use the Services only in accordance with these Terms and applicable law.
You are responsible for:
- Providing accurate account and business information
- Maintaining the confidentiality of your account credentials
- Controlling access to your account
- Ensuring that your use of Helicon complies with applicable laws and regulations
- Ensuring that anyone using the Services through your account is authorized to do so
You must promptly notify us if you become aware of unauthorized access to your account.
2. Eligibility
You must have the legal capacity to enter into a binding agreement in order to use the Services.
If you use Helicon on behalf of a business or organization, you represent that you are authorized to accept these Terms on its behalf.
3. Accounts
Certain Services may require an account.
You agree to provide accurate, complete, and current information and to keep that information updated.
We may suspend or restrict access to an account if we reasonably believe:
- The account has been compromised
- The Services are being misused
- The account is being used in violation of these Terms
- Continued access may create a security, legal, or operational risk
4. Customer Data
You may provide, upload, connect, transmit, or otherwise make data available to Helicon in connection with your use of the Services ("Customer Data").
As between you and Helicon, you retain your rights in Customer Data.
You grant Helicon the rights necessary to host, process, transmit, analyze, display, and otherwise use Customer Data as reasonably necessary to:
- Provide the Services
- Operate and maintain the platform
- Perform actions configured by you
- Prevent fraud and abuse
- Maintain security
- Provide support
- Improve the reliability and performance of the Services
You are responsible for ensuring that you have the rights, permissions, and legal bases necessary to provide Customer Data to Helicon and to instruct Helicon to process it.
5. Your Responsibilities Regarding End Customers
Helicon may allow businesses to process information relating to their own customers, members, visitors, or users.
You are responsible for:
- Providing any privacy notices required by law
- Obtaining any required consent
- Honoring applicable privacy rights
- Maintaining appropriate permissions for customer communications
- Complying with laws relating to email, SMS, push notifications, marketing, and other communications
- Ensuring your use of customer information is lawful
Helicon does not determine whether a particular communication, campaign, offer, reward, or other action is legally appropriate for your business.
6. Communications and Messaging
The Services may allow you to configure or send communications through channels such as email, SMS, push notifications, or in-app experiences.
You are responsible for the content of communications sent through your account and for ensuring that recipients may lawfully receive them.
You must not use Helicon to send:
- Unlawful communications
- Spam or unsolicited messages prohibited by law
- Fraudulent or deceptive content
- Harassing or abusive communications
- Content that infringes the rights of others
Third-party communications providers may impose additional terms, restrictions, or fees.
7. Acceptable Use
You may not use the Services to:
- Violate any applicable law or regulation
- Infringe intellectual property or other rights
- Access another user's account without authorization
- Introduce malware, viruses, or malicious code
- Attempt to interfere with the operation or security of the Services
- Circumvent technical restrictions or usage limits
- Reverse engineer the Services except where applicable law expressly permits it
- Scrape or extract data from the Services in an unauthorized manner
- Use the Services to facilitate fraud, abuse, harassment, or unlawful discrimination
- Misrepresent your identity or affiliation
- Use Helicon in a manner that could materially damage the platform or other users
We may investigate suspected violations and take appropriate action.
8. Third-Party Services and Integrations
Helicon may integrate with third-party platforms, software, APIs, payment processors, communications providers, or other services.
Your use of third-party services may be subject to separate terms and privacy policies.
Helicon does not control and is not responsible for third-party services, including their:
- Availability
- Security
- Accuracy
- Performance
- Data practices
- Changes or discontinuation
If a third-party integration changes or becomes unavailable, some Helicon features may be affected.
9. Fees and Payment
Certain Services may require payment.
If you purchase a paid plan or service, you agree to pay the applicable fees and any taxes associated with your purchase.
Unless otherwise stated:
- Fees are charged in accordance with the pricing presented at the time of purchase or in an applicable order form
- Fees are non-refundable except where required by law or expressly agreed otherwise
- Pricing may change in the future
- We will provide notice of material pricing changes when required
If payment becomes overdue or cannot be processed, we may suspend or limit access to paid Services.
10. Trials, Beta Features, and Early Access
Helicon may offer trials, beta functionality, experimental features, or early-access Services.
These features may:
- Change without notice
- Be incomplete
- Contain errors
- Be discontinued
- Have reduced support or availability
You use beta and experimental features at your own risk.
11. Intellectual Property
Helicon and its licensors retain all rights, title, and interest in and to the Services, including:
- Software
- Interfaces
- Designs
- Branding
- Documentation
- Technology
- Content provided by Helicon
- Improvements and modifications
These Terms do not transfer ownership of Helicon's intellectual property to you.
You may not copy, reproduce, distribute, sell, license, or create derivative works from Helicon's proprietary materials except as expressly permitted.
12. Feedback
If you provide feedback, suggestions, ideas, or recommendations regarding Helicon, you grant us the right to use that feedback without restriction or compensation to you.
You are not required to provide feedback.
13. Service Availability
We aim to make the Services available and reliable, but we do not guarantee uninterrupted or error-free operation.
The Services may occasionally be unavailable due to:
- Maintenance
- Updates
- Infrastructure failures
- Third-party outages
- Security incidents
- Events outside our reasonable control
We may modify, suspend, or discontinue parts of the Services from time to time.
14. Changes to the Services
Helicon may add, remove, modify, or replace features as the product evolves.
We may also impose or modify usage limits where reasonably necessary for:
- Security
- Performance
- Technical constraints
- Abuse prevention
- Product changes
Where required by law or contract, we will provide appropriate notice of material changes.
15. Confidentiality
If you receive non-public information from Helicon that is identified as confidential or that should reasonably be understood to be confidential, you agree to protect it using reasonable care and not disclose it except as permitted by law or with our authorization.
This does not apply to information that:
- Becomes public through no fault of yours
- Was already lawfully known to you
- Is independently developed without use of the confidential information
- Is lawfully received from another source without a confidentiality obligation
16. Privacy
Our collection and use of personal information is described in our Privacy Policy.
Where Helicon processes personal information on behalf of a business customer, additional contractual terms may apply.
17. Suspension and Termination
You may stop using the Services at any time.
We may suspend or terminate your access if:
- You materially violate these Terms
- You fail to pay applicable fees
- Your use creates a security or legal risk
- We are required to do so by law
- Continuing to provide the Services becomes impractical
Where reasonable, we may provide notice before suspension or termination.
Certain provisions of these Terms will continue to apply after termination where their nature requires it, including provisions relating to intellectual property, liability, disclaimers, and disputes.
18. Disclaimers
To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis.
Helicon disclaims all warranties not expressly stated in these Terms, including implied warranties of:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
We do not guarantee that:
- The Services will always be available
- The Services will be error-free
- All results generated through the Services will be accurate
- Use of the Services will produce any particular business, revenue, retention, or customer outcome
You remain responsible for business decisions made using information or recommendations provided through the Services.
19. Limitation of Liability
To the maximum extent permitted by law, Helicon and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, or business opportunities.
To the maximum extent permitted by law, Helicon's total liability arising out of or relating to the Services or these Terms will not exceed the greater of:
- The amount you paid to Helicon during the 12 months before the event giving rise to the claim, or
- $100
Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.
20. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Helicon and its affiliates, officers, employees, and contractors from claims, damages, losses, liabilities, and expenses arising from:
- Your misuse of the Services
- Your violation of these Terms
- Your violation of applicable law
- Customer Data or content you provide through the Services
- Your communications or interactions with your customers
- Your violation of another person's rights
21. Governing Law
These Terms are governed by the laws of the jurisdiction in which Helicon is established, without regard to conflict-of-law principles, unless applicable law requires otherwise.
Any specific dispute-resolution or venue requirements may be provided in an applicable order form or other agreement between you and Helicon.
22. Changes to These Terms
We may update these Terms from time to time.
When we make changes, we will update the "Last Updated" date at the top of this page.
If required by law, we may provide additional notice of material changes.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
23. Entire Agreement
These Terms, together with any additional agreements, order forms, policies, or terms expressly incorporated by reference, constitute the agreement between you and Helicon regarding the Services.
If there is a conflict between these Terms and a separately signed agreement with Helicon, the separately signed agreement will control to the extent of the conflict.
24. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.
25. No Waiver
If Helicon does not enforce a provision of these Terms, that does not waive our right to enforce it later.
26. Assignment
You may not assign or transfer these Terms without our prior written consent.
Helicon may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction.
